The American College of Governance Counsel (ACGC) is an invitation-only organization of leading corporate governance lawyers from the United States and Canada. The 21 new Fellows elected this year will bring the College ranks to just over 180 Fellows and Honorary Fellows.
In her Delaware law practice, Melissa provides advice on corporate governance matters and private and public corporate transactions. Clients look to Melissa for specialized knowledge of Delaware law when structuring transactions and confronting complex or novel corporate issues. Her work often involves guiding Delaware corporations on the requirements of the Delaware General Corporation Law (DGCL), counseling boards of directors and board committees with respect to fiduciary duties and providing formal legal opinions on issues of Delaware law.
Melissa is involved with the American Bar Associationās Mergers and Acquisitions Committee. She is a current member of the Delaware State Bar Associationās Council of the Corporation Law Section. In that capacity, she participates in the annual review of, and preparation of amendments to, the DGCL. She frequently speaks on Delaware corporate law issues with a focus on M&A developments, the changing litigation landscape, and technical guidance from the Delaware courts on drafting matters. At Morris Nichols, Melissa is a member of the firmās executive committee.
